• Non-Brokerage Disclosure: The Miccoli Group is not a licensed broker, dealer, agent, or appraiser.
• We do not provide legal, financial, or technical advice regarding any listed asset.
• We are not a party to any transaction between buyer and seller.

2. WAITLIST AND REGISTRATION
• Registering on the waitlist is free and creates no financial obligation.
• Registration provides notification when formal bidding opens but is not a binding contract.

3. AUCTION AND BIDDING PROCESS
• No Binding Commitment: A waitlist entry is not a bid. A contract is only formed when a formal sealed bid is submitted and accepted in writing by The Miccoli Group.
• Lot Availability: All lots may be withdrawn, modified, or repriced prior to auction opening.
• Winning Bids: The highest qualifying bid above the reserve price wins.
• Payment: Full payment is due within 72 hours (3 business days) of winning notification.
• Asset Transfer: Title and documentation transfer only occur after payment is verified by The Miccoli Group.

4. FEES AND COMMISSIONS
• A non-refundable listing fee and a success fee apply upon a completed transaction.
• All fees are fully disclosed before any formal agreement is signed.

5. LIMITATION OF LIABILITY AND DUE DILIGENCE
• All due diligence, including inspections and title searches, is the sole responsibility of the buyer and seller.
• The Miccoli Group accepts no liability for loss, damage, or disputes arising from a transaction.

6. GOVERNING LAW AND DISPUTE RESOLUTION
• Governing Law: This agreement is governed exclusively by the laws of the Province of Alberta, Canada.
• Mandatory Arbitration: Any dispute shall be submitted to binding arbitration in Alberta, Canada, in accordance with the Arbitration Act (Alberta). The arbitrator’s decision is final.
• Jurisdiction: To the extent any matter proceeds to court, the exclusive venue shall be the courts of Alberta, Canada.
• No Class Actions: All disputes must be brought in an individual capacity only.
